Our Terms and Conditions outline the rules and guidelines for using our platform. By accessing or using discovertix, you agree to comply with these terms.

1. Introduction

Welcome to DiscoverTix Ltd. ("DiscoverTix," "we," "us," or "our"). These Terms of Use & Service ("Terms") govern your access to and use of the DiscoverTix website, mobile applications, APIs, and any related services (collectively, the "Platform"). By accessing or using the Platform, you ("**you" or "User") agree to be bound by these Terms and our Privacy Policy.

2. Acceptance of Terms

We value your privacy and want to be accountable, fair and transparent with you in the way that we collect and process your Personal Data. Our overall aim is to ensure that our collection and use of your Personal Data is appropriate to the provision of the Services and is in accordance with applicable data protection laws. We also want you to know your rights in relation to your Personal Data which you can find in section 13.

3. Updates to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the revised Terms and updating the "Last updated" date. Continued use after changes constitutes acceptance.

4. Eligibility

You must be at least 16 years old (or the age of majority in your jurisdiction, whichever is higher) to create an account or purchase tickets. By using the Platform, you represent that you meet this requirement and that all information you provide is accurate.

5. Account Registration & Security

You may be required to create an account to access certain features. You are responsible for safeguarding your login credentials.
You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to suspend or terminate your account for violations of these Terms.

6. Ticket Purchases & Event Attendance

Third‑Party Event Organizers. DiscoverTix acts as a ticket marketplace and does not own or control events listed on the Platform. Tickets are issued by third‑party event organizers ("Organizers").
Contract Formation. Your purchase creates a direct contractual relationship between you and the Organizer. DiscoverTix facilitates the transaction but is not a party to the contract for the event itself.
Pricing & Fees. Ticket prices, booking fees, taxes, and currency conversions are displayed at checkout. All sales are final unless the Organizer’s refund policy states otherwise or mandatory law applies.
Cancellations & Changes. Organizers are responsible for event cancellations or schedule changes. We will use commercially reasonable efforts to notify you, but we are not liable for any losses resulting from such changes.
Admittance.Admission is subject to the venue’s rules and any age or health restrictions.

7. Listing Your Event

Organizers who wish to list events must:

Provide accurate event details, dates, prices, and capacity.
Comply with all applicable laws, permits, and safety regulations.
Honor all tickets sold through the Platform. DiscoverTix reserves the right to remove or refuse any listing at its discretion.

8. Ambassador Program

Creators participating in the DiscoverTix Ambassador Program must comply with the Ambassador Agreement in addition to these Terms. Ambassadors may earn commissions in USD or DTIX tokens subject to performance metrics and payout thresholds.

9. DTIX Tokens & Digital Assets

Nature of DTIX. DTIX is a utility token issued by DiscoverTix for rewards and loyalty purposes. It is not intended to be a security or investment.
Regulatory Compliance. You are solely responsible for understanding how laws in your jurisdiction apply to holding, transferring, or converting DTIX tokens.
No Guarantee of Value. The value of DTIX may fluctuate. DiscoverTix makes no representation regarding the future value or liquidity of DTIX.

10. Corporate Gift Cards

Gift cards are redeemable only for eligible purchases on the Platform and are non‑refundable, except where required by law. Gift cards may not be resold without our written consent.

11. Fees & Payment Processing

Payments are processed via third‑party payment processors. DiscoverTix does not store complete payment information. You authorize DiscoverTix to charge your selected payment method for all purchases, fees, and applicable taxes.

12. Prohibited Conduct

You agree not to:

Violate any laws, regulations, or these Terms.
Resell tickets in violation of Organizer or territorial resale restrictions.
Post false, misleading, or infringing content.
Interfere with the Platform’s security or integrity.
Use bots, crawlers, or scraping technologies without our prior written consent

13. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is owned by or licensed to DiscoverTix and protected by intellectual‑property laws. You are granted a limited, non‑exclusive license to use the Platform for its intended purpose.

14. Third‑Party Links & Services

The Platform may contain links to third‑party sites or services. DiscoverTix is not responsible for third‑party content, policies, or practices.

15. Disclaimers

The Platform and all content are provided "as is" without warranties of any kind.
DiscoverTix does not guarantee the accuracy, availability, or quality of any event or ticket.
We are not liable for the acts, errors, omissions, or negligence of any Organizer or third party.

16. Limitation of Liability

To the maximum extent permitted by law, DiscoverTix will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to your use of the Platform.

17. Indemnification

You agree to defend, indemnify, and hold harmless DiscoverTix and its affiliates from any claims, damages, or expenses arising out of your use of the Platform, your violation of these Terms, or your infringement of any third‑party rights.

18. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is otherwise harmful to DiscoverTix or other Users.

19. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales, without regard to conflict‑of‑laws principles. Any dispute will be subject to the exclusive jurisdiction of the courts of London, United Kingdom, unless mandatory law requires otherwise.

20. Dispute Resolution & Arbitration

For Users located outside the United Kingdom, any dispute arising out of or relating to these Terms will be resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA). You waive any right to participate in class‑action proceedings.

21. Miscellaneous

Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
Entire Agreement. These Terms constitute the entire agreement between you and DiscoverTix regarding the Platform.
No Waiver. Our failure to enforce any provision will not constitute a waiver of that right.
Assignment. You may not assign these Terms without our prior written consent; we may assign them as part of a merger, acquisition, or other corporate reorganization.
